Educational Requirements

Must be a post graduate from any recognized university having no third division in academic records. Professional qualification such as CS/CA/CMA will be given preference.

Experience Requirements

At least 10 year(s)

Additional Requirements

Age at most 50 years
IT Savvy with MS Word, MS Excel & MS PowerPoint.
Minimum 10 (Ten) years’ working experience and at least 05 (Five) years in Board & Company affairs in leading commercial banks/NBFIs.
Must have intense knowledge in Company Laws, Bank Company Act, Rules and Regulations of Bangladesh Bank, BSEC, CDBL, RJSC, DSE, CSE and submission of returns to those regulatory authorities.

Job Responsibilities

Assist company secretary to organize Board and Committee Meetings following strict compliance with corporate governance guidelines, Company Law, Bank Company Act, Bangladesh Bank and other regulator’s regulations.
Communicate with Board of Directors, Shareholders and others.
Coordinate with other departments for preparation of Board memos and circulate to the members of the Board of Directors.
Preparation of minutes of Board and Committee meeting.
Timely and accurately record keeping and communicate decisions of the meeting to related stakeholders.
Keep up to date with any regulatory or statutory changes and policies that might affect the company and take appropriate action.
Manage the holding of AGM & EGM successfully and to ensure due compliance.
Maintain good relationship and compliance the regulations of Regulatory Bodies including Bangladesh Bank, SEC, DSE, CSE, CDBL etc.
